Agreement and eligibility
These Terms of Service (“Terms”) form a binding agreement between you and the operator of MiniPeople (“MiniPeople”, “we”, “us”, or “our”) governing the MiniPeople website, applications, and HR management services (collectively, the “Service”).
By creating an account, clicking to accept, or using the Service, you agree to these Terms and our Privacy Policy. If you use the Service for an organisation, you represent that you have authority to bind it, and “you” includes that organisation. You must be at least 18 years old or the age of legal majority where you live.
If you do not agree, do not create an account or use the Service.
The Service and licence
MiniPeople provides tools for managing employee records, departments, leave, payroll records, claims, reports, and related administration. Subject to these Terms and your selected plan, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your organisation's lawful internal business purposes.
Features, plan limits, and availability may change as the Service develops. We may improve, replace, or discontinue a feature, and will give reasonable notice when a material change is likely to significantly reduce paid functionality.
Accounts and authorised users
You must provide accurate account information, keep it current, protect login credentials, and promptly notify us of suspected unauthorised access. Accounts are personal and may not be shared. You are responsible for activity performed through your account unless caused by our breach of these Terms.
Organisation owners and administrators control invitations, roles, permissions, and access to organisation data. You are responsible for reviewing access regularly, removing users who no longer require it, and ensuring each user is authorised and bound by appropriate obligations.
Customer data and privacy responsibilities
“Customer Data” means information, records, and content that you or your users submit to the Service. You retain your rights in Customer Data. You grant us the limited rights needed to host, copy, process, transmit, back up, display, and otherwise use Customer Data to provide, secure, support, and improve the Service and to meet our legal obligations.
You are responsible for:
- the accuracy, quality, legality, and necessity of Customer Data;
- having a valid legal basis and all permissions needed to collect and provide workforce data;
- giving employees and other individuals legally required privacy notices and choices;
- configuring permissions and retention in accordance with your policies and applicable law; and
- responding to individuals' requests concerning workforce data you control.

Acceptable use
You must not, and must not help anyone else to:
- use the Service unlawfully, fraudulently, deceptively, or to violate another person's rights;
- upload malware or content that is illegal, harmful, discriminatory, infringing, or unnecessarily sensitive;
- bypass access controls, probe for vulnerabilities, disrupt the Service, or access another customer's data;
- reverse engineer, scrape, resell, sublicense, or copy the Service except where law expressly permits;
- use automated means in a way that creates an unreasonable load or interferes with other users; or
- use MiniPeople to make unlawful employment decisions or facilitate workplace discrimination.
We may investigate suspected misuse and remove content or restrict access where reasonably necessary to protect the Service, users, or others.
HR, payroll, and compliance disclaimer
MiniPeople is an administrative recordkeeping tool. It is not a payroll bureau, bank, employer, recruitment agency, legal adviser, tax adviser, or accountant. Information, calculations, templates, holiday data, reports, payslips, and claim statements generated by the Service are not legal, tax, accounting, or employment advice.
You remain responsible for verifying pay, tax, deductions, leave entitlements, statutory contributions, employment decisions, filings, payment instructions, and compliance with the laws and agreements that apply to your organisation. Review outputs before relying on or distributing them and consult a qualified professional when needed.
Plans, billing, and cancellation
Some features require a paid monthly or annual subscription. Prices, currency, billing interval, plan limits, and taxes are shown before checkout. Payments are processed by Stripe and may also be subject to Stripe's terms. You authorise recurring charges to your selected payment method until cancellation.
Subscriptions renew automatically for the same interval unless cancelled before renewal. A cancellation normally takes effect at the end of the current paid period. Except where required by law or expressly stated at purchase, charges already paid are non-refundable and we do not provide credits for partial periods, unused accounts, or plan downgrades.
We may change future prices by giving reasonable advance notice. If payment is overdue, we may retry payment, limit paid features, or suspend the account after reasonable notice.
Our intellectual property
MiniPeople and its licensors own the Service, including its software, design, branding, documentation, and all related intellectual property rights. These Terms do not transfer ownership to you. Rights not expressly granted are reserved.
If you provide feedback or suggestions, you allow us to use them without restriction or payment, but we will not identify you publicly as the source without permission.
Third-party services
The Service relies on or may link to third-party services such as payment, email, hosting, and infrastructure providers. Their separate terms and privacy practices may apply to your direct use of their services. We are not responsible for third-party websites or services that we do not control, though we remain responsible for our own obligations when using vendors to provide MiniPeople.
Availability and beta features
We aim to provide a reliable Service, but do not guarantee uninterrupted or error-free operation. Maintenance, security events, internet failures, provider outages, or circumstances beyond our reasonable control may cause temporary unavailability.
Preview, beta, or experimental features may be changed or withdrawn at any time and are provided for evaluation. Do not rely on them for critical records without maintaining an appropriate backup or independent verification process.
Suspension, termination, and data export
You may stop using the Service at any time and may cancel a paid subscription through the available billing controls. We may suspend or terminate access if you materially breach these Terms, fail to pay, create a security or legal risk, or use the Service in a way that could harm MiniPeople or others. Where practical, we will give notice and an opportunity to remedy the issue.
Before closing an organisation account, you should download records available through the Service or contact us to request a reasonably available export. After termination, we may delete Customer Data subject to reasonable transition and backup periods and any legal retention requirements. Sections that by their nature should survive termination will remain in effect.
Warranties and disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Service will be uninterrupted, completely secure, or error-free. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profits, revenue, goodwill, business opportunity, or data, arising from the Service or these Terms.
To the maximum extent permitted by law, MiniPeople's total aggregate liability arising from the Service or these Terms will not exceed the amount you paid to MiniPeople for the Service during the 12 months immediately before the event giving rise to the claim. These limits do not apply where liability cannot be limited by law, or to fraud or wilful misconduct.
Indemnity
To the extent permitted by law, an organisation using the Service will defend and indemnify MiniPeople from third-party claims, damages, and reasonable costs arising from its Customer Data, unlawful employment or payroll practices, violation of another person's rights, or material breach of these Terms. This does not apply to the extent a claim was caused by MiniPeople's breach, negligence, or wilful misconduct.
Governing law and disputes
These Terms are governed by the laws of Malaysia, without regard to conflict-of-law rules. Before filing a claim, each party will try in good faith for 30 days to resolve the dispute informally. If it is not resolved, the courts of Malaysia will have exclusive jurisdiction, except where mandatory law gives you the right to bring a claim elsewhere.
Nothing in this section prevents either party from seeking urgent injunctive or protective relief.
General terms
These Terms and documents expressly incorporated into them are the entire agreement about the Service and replace earlier discussions on the same subject. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest will remain effective. A failure to enforce a provision is not a waiver.
You may not assign these Terms without our consent. We may assign them as part of a merger, reorganisation, sale of assets, or by operation of law. Neither party is liable for delay caused by events beyond its reasonable control. Headings are for convenience only.
Changes to these Terms
We may update these Terms as the Service or law changes. We will post the revised Terms and update the date above. For a material change, we will provide reasonable notice through the Service or by email. Continued use after the effective date means you accept the revised Terms. If you do not agree, you must stop using the Service and cancel any subscription.
